Tasteport Terms of Service, Members​

Tasteport is an online grocery ordering service made available to you by BagIt Solutions Inc. ("Tasteport," "we," or "us"), via the Tasteport mobile app (the "App"), and the Tasteport website (the "Site," collectively, with the App, the "Service"). Please read these terms and conditions of use as set out below (the "Terms") carefully before using Service. These Terms govern your access to and use of this Service, including the messages, information, data, text, software, images and other content that make up this site (the "Content," which content is part of this Service). These Terms exempt us and others from liability and/or limit our and their liability and contain other important provisions that apply to your use of this site.

1. General

Our objective is to make your grocery purchasing experience easy and efficient. However, Tasteport does not own the products or goods you purchase through the Service ("Groceries"). We offer a platform that presents you with a set of one or more retailer virtual storefronts from which you can select Groceries for picking, packing, and delivery from our retailers (as defined below) to your location or, if available, for you to pick up in-store. This means we do not determine certain details such as the quality, timing, legality, or the availability of Groceries. When you make a purchase through the Service you are purchasing from retailers and our third party payment processor will be handling the transaction and collecting the payment for your purchase.

Picking, packing, or delivery services may be performed by independent third party providers including a retailer, third party logistics provider or personal shopper ("Third Party Providers"). By using the Service, you acknowledge that such picking, packing, or delivery services are provided by Third Party Providers. You acknowledge that Third Party Providers are independent contractors and that Tasteport does not employ them.

When you use the Services to place an order for Groceries, you authorize the purchase and delivery of those Groceries from the retailers you select. Unless otherwise specified, you acknowledge and agree that Tasteport and any Third Party Providers are acting as your agents in the picking, packing, and/or delivery of Groceries purchased by you and are not the sellers of the Groceries to you. You agree that your purchase is being made from the retailer you have selected, that retailer is the merchant of record, and that title to any Groceries passes to you when they are purchased at the applicable retailer's store. You also acknowledge and agree that, except as expressly provided for otherwise in these Terms or a separate agreement between you and Tasteport, Tasteport does not form any employment or agency relationship with you and does not hold title to any Groceries that you order through the Services. You agree that for any cancellation of a purchase without at least twenty-four (24) hours' prior notice of the scheduled delivery slot, you will be charged a twenty-five dollar ($25.00 CAD) re-stocking fee.

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions that may relate to pricing, product descriptions, promotions offers, and availability. Tasteport reserves the right to correct any errors, inaccuracies or omissions and to change or update information or refuse or cancel orders if any information on the Services is inaccurate at any time without prior notice (including after you have submitted your order and/or your credit card has been charged). Please note that prices of Groceries on the Services may be different than prices offered for the same Groceries in-store by the same retailer. This difference is not necessarily a mark-up by the retailer, but is applied to cover the costs associated with the technology platform, order processing, and the convenience of picking, packing, and delivery services provided by Tasteport and its Third Party Providers.

Tasteport (including our contracted third-party delivery partners) reserves the right, at its sole discretion and without liability, to reschedule or cancel any delivery due to unforeseen circumstances, including but not limited to, severe inclement weather, road closures, traffic congestion, accident or breakdown impacting the delivery service vehicle, governmental action, civil unrest, acts of war, or any other event constituting an act of God or force majeure. Tasteport will notify you in such an event and will work with you to determine the next best alternative delivery date.

Delivery & Risk of Loss: Risk of loss and title for all items shall pass to the customer upon our delivery to the address provided. Tasteport is responsible for the transport of goods only until they reach the designated delivery area (e.g., front door, back door, or gate).

Proof of Delivery (PoD): A GPS-tagged photograph, taken by our courier, serves as conclusive proof that the delivery was completed. You may request a copy of this photograph to be sent to you via your verified email address.

Unattended Deliveries: By requesting a delivery to a specific location (e.g., "leave at back door") or acknowledging that you will not be present, you accept full responsibility for the security of the items post-delivery. Tasteport is not liable for theft, weather damage, or tampering once the order has been placed at the requested location.

Third-Party Provider Screening: Tasteport requires all Third Party Providers to undergo a comprehensive screening process, which may include background checks, to ensure compliance with our safety and quality standards.

2. Terms of Use of Service

Your use of this Service is conditional on your acceptance of these Terms. By visiting or using this Service you agree on your own behalf, and on behalf of any organization on whose behalf you may act (collectively referred to herein as "you"), to accept and abide by these Terms for each use of and each visit to this Service. You also agree to comply with our privacy statement available at tasteport.com/privacy (the "Privacy Statement").

If you do not agree to abide by these Terms, you cannot use this Service or register to become a member of this Service. You agree to have these Terms and any related information made available to you, and to otherwise have communications between you and us occur, electronically.

We have the right, in our sole discretion, to add to, remove, modify or otherwise change any part of these Terms, in whole or in part, at any time. If we exercise this right, the "Last Update" notice at the top of this document shall be amended to reflect the last date of such changes. Changes will be effective as of the date the changes to these Terms are posted to this Service. It is your responsibility to check these Terms each time you access this Service to determine whether any changes have been made, including by checking the date of the "Last Update" at the top of these Terms. If any change to these Terms is not acceptable to you, you must discontinue your use of this Service immediately. Your continued use of this Service after any such changes are posted will constitute acceptance of those changes. These Terms apply exclusively to your use of this Service and do not alter the terms or conditions of any other agreement you may have with us.

We may, at any time without notice or liability, and for any reason whatsoever, terminate, change, suspend or discontinue any aspect of this Service, including: (i) changing the availability of, restricting access to, or imposing limits on any or all features or services on, or links to, this Service; (ii) removing, adding, modifying or otherwise changing any fees or charges arising out of use of this Service or any features of this Service; and (iii) removing, adding, modifying or otherwise changing any Content on this Service. We reserve the right, in our sole discretion, to correct any errors or omissions in any portion of this Service at any time without notice, but confirm that we have no duty to do so.

You must be at least 14 years of age or older in the jurisdiction in which you reside as of the time you register as a Family Member (as defined below) or be at least 18 years of age or older and of at least the age of majority in the jurisdiction in which you reside at the time of registration, if you are registering as a Primary User (as defined below).

Any mobile application downloaded via a third party store, such as iTunes or Google Play, may be subject to additional terms and conditions applicable to such store. You acknowledge and agree that the owner of such a third party store is not a party to these Terms.

We may, at any time, introduce new technologies such as AI Chat Assistant and AI Voice Assistants ("Tasteport Digital Assistants") to enhance your food discovery and delivery experiences and to service you better. You acknowledge that the information provided by these Tasteport Digital Assistants is not a replacement for Professional Advice. At no time would our Tasteport Digital Assistants provide medical or professional nutritional advice. The Services provided by our Tasteport Digital Assistants are for educational and culinary exploration purposes only. You acknowledge that you are responsible for vetting ingredients for allergies or dietary restrictions. You acknowledge that AI outputs may be "hallucinated" (incorrect) and the company is not liable for errors in AI-generated responses including, but not limited to, recipes, ingredient recommendations or shopping lists. You acknowledge that by chatting with our Tasteport Digital Assistants, you grant Tasteport a license to use that data to improve the service (anonymously). Additionally, please refer to Section 7.

3. Limited Licenses

Subject to these terms, you are granted a non-exclusive, non-transferable, non-sub-licensable, revocable, limited right and license to use this Service, including the Content therein accessible through this Service, solely for informational purposes and solely for your own personal use.

You may not, nor may you cause or assist another to:

(a) modify, reverse engineer, decompile, create derivative works from, or disassemble this Service for any reason whatsoever, including for the purpose of creating competitive products or services;

(b) resell any Content or include any Content in or with any product that you create or distribute;

(c) copy any Content onto your own or any other web site or into a database or mobile application;

(d) use this Service in any manner that could damage, disable, overburden, impair, interfere with the security of, negatively affect the functioning of, or otherwise abuse, this Service or any other services, system resources, accounts, servers, networks, affiliated or linked sites connected to or accessible through this Service (including without limitation uploading, posting or otherwise transmitting on this Service any computer viruses, trojan horses, worms or other files or computer programs which are potentially harmful, disruptive or destructive or that may impose an unreasonable or disproportionately large load on the infrastructure of this Service);

(e) use this Service for commercial purposes or activities including without limitation: (i) selling or offering to sell any goods or services; (ii) soliciting for advertisers or sponsors; (iii) soliciting for donations; or (iv) sending unauthorized or unsolicited junk mail, spam, chain letters, pyramid schemes or any other form of solicitation;

(f) use any robot, spider or other automatic program or device, or manual process to monitor, copy, summarize, or otherwise extract information from this Service or the Content in whole or in part;

(g) use this Service in any manner that may dilute or depreciate our name or reputation, our Marks (as defined below) or our affiliates or associates; or

(h) interfere with any other persons' use and enjoyment of this Service or of the Internet generally.

To the extent you are in breach of your obligations under these Terms, Tasteport may investigate occurrences which may involve violations of such laws and co-operate with law enforcement authorities in prosecuting Users who are involved in such violations. We reserve the right at all times to disclose any information (including without limitation your personal information or your identity) regarding your usage of this Service (including any perceived violations of applicable law), in each case as may be permitted by or required to satisfy applicable law. Moreover, Tasteport reserves the right, exercisable in its sole discretion, to take any action to cure any risk or threat to the Services caused by a breach of your obligations.

4. Membership and Accounts

To use the Service, you must register for an account to become a member of the Service. Members of the Service include anyone who accesses the Service for the purpose of adding Groceries to a family shopping list ("Family Member") and anyone who accesses the Service for the purpose of purchasing Groceries ("Primary User," collectively, with a Family Member, "User(s)").

To register as a Primary User:

(a) You must register as a Primary User by providing your legal name, verifiable phone number, password, and valid, verifiable email address. You must provide complete and accurate information to us and notify us if your information changes. Submission of such registration information does not guarantee that you will be granted membership to use the Service. Any personal information which Tasteport collects via the Service is subject to our Privacy Statement. You hereby acknowledge that the collection, use and disclosure of your personal information pursuant to the Privacy Statement is for reasonable and appropriate purposes, and is with your knowledge and consent.

(b) You may not share your User name or password with any other person. You are responsible for all activity occurring under your Primary User account and/or any Family Member accounts linked to your Primary User account. You shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with use of the Service, including those related to data privacy, international communications and the transmission of technical or personal information. You shall: (A) notify us immediately of any unauthorized use of any password or User account or any other known or suspected breach of security; and (B) not impersonate another person or provide false identity information to gain access to or use the Service. Without limitation, we may immediately remove or suspend any User account that falls, or is suspected of falling, under the scope of the foregoing paragraphs (A) or (B).

(c) If you become aware of unauthorized access to your account, you must change your password and notify us immediately. You agree to notify us promptly of any unauthorized use of your password and you will remain liable for any use of this Service to the extent permitted by law.

(d) You must not use this Service in any manner that is unlawful (including by accessing this Service from any location where such access may be illegal or prohibited), unethical, indecent, offensive, defamatory, derogatory, fraudulent, deceptive, harmful, abusive, threatening, vulgar, profane, pornographic, obscene, sexually explicit, sexist, racist, hateful, offensive, harassing, invasive of the privacy rights of others (this includes the posting of any materials that depict, encourage, indicate, advocate or tend to incite any such conduct), or is otherwise objectionable or which does not respect the legal rights and interests of others.

(e) We maintain a zero-tolerance policy for abuse. You agree that any verbal, written, or physical abuse, threats, harassment, or other inappropriate conduct directed toward Tasteport employees, agents, Third Party Providers, or couriers will not be tolerated. Tasteport reserves the right, in its sole discretion, to immediately suspend or permanently terminate your access to the Service, including all associated accounts, without notice or liability, for any violation of this policy.

To register as a Family Member:

(e) You must register as a Family Member by linking your account to a Primary User and providing your legal name, phone number, password, and valid email address. You must provide complete and accurate information to us and notify us if your information changes. Submission of such registration information does not guarantee that you will be granted membership to use the Service. Any personal information which Tasteport collects via the Service is subject to our Privacy Statement. You hereby acknowledge that the collection, use and disclosure of your personal information pursuant to the Privacy Statement is for reasonable and appropriate purposes, and is with your knowledge and consent.

(f) You may not share your User name or password with any other person. You and the Primary User account you are linked to are responsible for all activity occurring under your Family Member account. You shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with use of the Service, including those related to data privacy, international communications and the transmission of technical or personal information. You shall: (A) notify us immediately of any unauthorized use of any password or User account or any other known or suspected breach of security; and (B) not impersonate another person or provide false identity information to gain access to or use the Service. Without limitation, we may immediately remove or suspend any User account that falls, or is suspected of falling, under the scope of the foregoing paragraphs (A) or (B).

(g) If you become aware of unauthorized access to your account, you must change your password and notify us immediately. You agree to notify us promptly of any unauthorized use of your password and you will remain liable for any use of this Service to the extent permitted by law.

(h) You must not use this Service in any manner that is unlawful (including by accessing this Service from any location where such access may be illegal or prohibited), unethical, indecent, offensive, defamatory, derogatory, fraudulent, deceptive, harmful, abusive, threatening, vulgar, profane, pornographic, obscene, sexually explicit, sexist, racist, hateful, offensive, harassing, invasive of the privacy rights of others (this includes the posting of any materials that depict, encourage, indicate, advocate or tend to incite any such conduct), or is otherwise objectionable or which does not respect the legal rights and interests of others. In these Terms, "Postings" refer to the text, images, comments, or other information posted by a User through this Service.

5. Responsibilities of Primary User

(a) As a Primary User, you agree that you will oversee and manage each Family Member linked to your account, including the content of any Postings and any Groceries that you purchase. You must also: (i) manage and approve any Grocery purchases; and (ii) ensure that all Family Members abide by these Terms.

(b) If you or a Family Member elect to send an electronic message through this Service (or otherwise) to a Third Party Provider, you are responsible for the content of such message and compliance with all applicable law, including anti-spam legislation.

(c) You agree that Tasteport has no control and assumes no responsibility regarding a Family Member's obligation to you, as a result of using this Service.

6. Transaction Terms

(a) Your use of certain services provided within the Service is contingent upon your payment of fees, as such fees are set out in the Service and as amended from time to time. Please note that prices and charges associated with this Service are set out in Canadian dollars.

(b) Our third party payment processor, on our behalf, will invoice you on a per transaction basis for all fees due with respect to the Service, as well as any processing fee charged to Tasteport by our third party payment processor, if applicable.

(c) Payments will be processed on behalf of Tasteport by a third party payment processor using their secure site. Upon submitting your order your information will be sent to the third party payment processor. Personal information that you submit during the payment process is subject to our Privacy Statement.

(d) You are responsible for and agree to pay promptly, all charges to your account, including applicable taxes on use by you or anyone you allow to use your account and password to access this Service. You agree and accept responsibility for keeping all your account information current, including address, payment information, telephone number, and email address.

(e) You agree that (or a third party payment processor on our behalf) will obtain a credit card authorization for your credit card on file with Tasteport to cover the cost of the Groceries you have purchased from the retailer and any separate Tasteport fees, and your card will be charged for the Groceries purchased by you and any applicable fees, taxes and/or tips.

(f) Your card may be temporarily authorized for an amount greater than the total amount of the purchase appearing in the original check out. This higher authorized amount will be disclosed during the purchase process and is a temporary authorization charge on your order, to deal with situations where your total purchase amount turns out to be higher than the original amount due to special requests, added items, replacement items or weight adjustments.

(g) Tasteport reserves the right to change the prices, fees and charges associated with the Service at any time and from time to time without any notice or any liability to you or any other person. Tasteport also reserves the right at any time to reject, cancel or terminate any transaction.

(h) You agree and acknowledge that any purchases made through the Service including, but not limited, to any delivery or transactions fees and Groceries are non-refundable by Tasteport and will not be replaced by Tasteport if expired, destroyed, damaged, lost, stolen or purchased in error.

(i) We may make various promotional offers from time to time on the Service. Some offers may be informational, web-based only and not available as an in-store offer or promotion. Not all offers and/or promotions available in store may be available on the website. We ask that you review the guidelines associated with each special offer, as they will differ.

(j) Chargebacks and Fraudulent Transactions: You agree that any attempt to obtain a refund through a chargeback not explicitly authorized by these Terms, or any other activity we deem fraudulent, constitutes a breach of these Terms. In the event of an unauthorized chargeback initiated by you, we reserve the right to immediately suspend or terminate your account under Section 21, and you will be responsible for all fees and costs, including without limitation attorneys' fees and payment processor fees, associated with the investigation and processing of such chargeback.

(k) Exception for Damaged or Incorrect Groceries: Notwithstanding Section 6(h), if you receive Groceries that are expired, damaged, or incorrect (not as ordered), you must report the issue along with reasonable quality photographic evidence, if applicable, to Tasteport Customer Care via email at support@tasteport.com within forty-eight (48) hours of delivery confirmation. Tasteport will, in its sole discretion, review the claim and may offer an exchange, or full or partial refund or credit for the affected items.

(l) Product Substitution: If a Groceries item you ordered is unavailable, our Third Party Provider will attempt to substitute it with a comparable item of equal or greater value, unless you have specified 'no substitutions' in your order instructions. You will be charged for the substituted item's price on the Service at the time of checkout or application of final charges. If you are dissatisfied with a substitution, you may notify us of that specific item through Tasteport Customer Care via email at support@tasteport.com within forty-eight (48) hours of delivery confirmation. Tasteport will, in its sole discretion, review the claim and may offer an exchange, or full or partial refund or credit for the substituted item.

7. Tasteport AI Voice Assistant & AI Text Chat Assistant (also referred to as "Mina" or "Tia"), collectively referred to as "Tasteport Digital Assistants"

Tasteport provides an AI-powered culinary voice and chat assistant named Mina to enhance your food discovery experience. Mina uses artificial intelligence, text-to-speech and speech-to-text technology to provide recipe suggestions, ingredient guidance, and cultural food information. Mina's responses are generated by AI and are for informational and entertainment purposes only. They do not constitute professional dietary, medical, or nutritional advice. Tasteport is not responsible for any decisions made based on Mina's suggestions. Voice interactions with Mina may be processed by third-party AI services to generate responses. By using the voice feature, you consent to your voice input being transmitted to these services for processing. Tasteport does not store voice recordings after processing is complete. Mina is designed to assist with culinary exploration and may not always provide accurate or complete information. Use your own judgment when following any food preparation guidance.

No Medical or Nutritional Advice: The Tasteport Digital Assistant provides information for educational and culinary exploration purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment. All Users of our service should always seek the advice of a qualified health provider regarding ingredients, allergens, or dietary restrictions.

Accuracy and 'As-Is' Delivery: The Tasteport Digital Assistant utilizes generative artificial intelligence. AI can 'hallucinate' or provide inaccurate information. Tasteport does not guarantee the accuracy, completeness, or reliability of any recipes, ingredient substitutions, or price estimations provided by the Tasteport Digital Assistant. Use of AI-generated content being provided by Tasteport Digital Assistant is at your own risk.

Allergen Responsibility: Users are solely responsible for verifying the allergen information on physical product packaging before consumption. Tasteport is not liable for adverse reactions resulting from AI-generated suggestions.

User Conduct: Users agree not to attempt to 'jailbreak,' manipulate, or use the Tasteport Digital Assistant for any illegal or harmful purposes, including the generation of offensive content.

Conversation Data Retention & Quality: Text-based conversations with Tasteport Digital Assistants are retained to maintain context, improve service quality, and provide customer support. Conversation content may be reviewed internally by Tasteport for quality assurance, training, and service improvement purposes. By using the Tasteport Digital Assistants, you acknowledge and consent to the retention and internal review of your conversation data. Voice audio recordings are not stored after real-time processing is complete. For authenticated users, conversations may be linked to your account to provide a seamless and personalized experience. Please refer to Section 7 of our Privacy Policy for additional details on data handling.

8. Subscription Membership Services & Food Journey Kits

Tasteport offers three (3) subscription membership tiers: Explorer, Guide, and Legend ("Membership Tier"). Benefits, pricing, and eligibility for each tier are detailed on our Membership Portal. We reserve the right to modify tier benefits or pricing upon thirty (30) days' notice to active members. By subscribing to a Membership Tier (either Explorer, Adventurer, or Legend), you agree to quarterly recurring billing in Canadian Dollars (CAD). Each Membership Tier includes one (1) or two (2) curated quarterly Food Journey Kits delivered to your door, containing ingredients, recipes, and cultural stories. Kit contents may vary based on seasonal availability and supplier constraints. Tasteport reserves the right to substitute items of equal or greater value. From time to time, Tasteport may have promotional offers that may include the first quarter being offered at fifty percent (50%) off the regular price. After the introductory period, the full quarterly rate would apply. You may cancel your membership at any time; cancellation takes effect at the end of the current billing quarter. No partial refunds are issued for the remaining period of a billing cycle. Quarterly Kit delivery is currently available within the Greater Toronto Area and select areas across Canada. Delivery timelines, if provided, are estimates and not guaranteed.

Payment and Billing

Membership Tier subscriptions are billed quarterly through Stripe, our third-party payment processor. By subscribing to a Membership Tier, you authorize Tasteport to charge your selected payment method for all applicable fees related to the chosen Membership Tier. You are responsible for keeping your payment information current. Failed payments may result in suspension of membership benefits until payment is resolved. All prices are listed in Canadian Dollars (CAD) and are exclusive of applicable taxes unless otherwise stated. Tasteport reserves the right to adjust pricing with at least thirty (30) days' notice to active subscribed members. Shipping costs and related taxes, when applicable, will be calculated based on your active Membership Tier and your shipping address. You will be able to review and confirm the shipping related costs before a purchase. You are responsible for all shipping or delivery costs upon completing checkout.

9. Rewards Program

Tasteport subscribed and active members earn loyalty points (the "Points") on qualifying grocery orders at a rate determined by their Membership Tier (Explorer: 5%, Adventurer: 8%, Legend: 11% cashback in Points). One (1) Point equals $0.01 CAD. Points may also be earned through eligible actions such as referrals, product reviews, social media sharing, and birthday bonuses. Points earned through the Rewards Program (the 'Points') are promotional in nature, have no cash value, and do not constitute property of a Primary User, the Users or Subscribed Members. Points cannot be transferred, sold, or exchanged for currency. Points are redeemable only for eligible future goods and services within the Tasteport platform. Tasteport reserves the right to modify the Rewards Program, including earning rates, redemption values, and eligible actions, at any time with reasonable notice. Tasteport reserves the right to revoke Points if a qualifying order is refunded, cancelled or if fraudulent activity is detected. Fraudulent activity, including but not limited to creating duplicate accounts to earn Points, will result in forfeiture of all accumulated Points and potential account suspension. In accordance with applicable provincial laws, Points will not expire due to the passage of time alone. However, Tasteport may cancel accumulated Points if your account remains 'Inactive' (no purchases) for a period of 12 (twelve) consecutive months, provided reasonable notice is given where required by law.

10. Referral Program

Users and/or Subscribed Members may refer friends and family to Tasteport using a unique referral code. A "Qualified Referral" occurs when a referred new user signs up for a paid tier using your unique referral link and completes their first eligible transaction. Upon completion of a Qualified Referral, both the referrer and the referred new user receive 1,000 Points ($10 value). Referral rewards are subject to verification and may take up to 7 (seven) business days to appear in your account. Self-referrals, fake accounts, and any form of referral abuse are prohibited and will result in forfeiture of referral Points and potential account termination.

By participating in the Referral Program, you agree to only share your referral link with individuals with whom you have a personal or family relationship as defined under Canada's Anti-Spam Legislation (CASL). You must not 'spam' or send unsolicited messages to strangers or via automated systems.

There is no limit to the number of referrals a user or subscribed member can make, but Tasteport reserves the right to cap the total amount of referral rewards an individual user can earn per calendar year. Further, Tasteport reserves the right to cap rewards if abuse is detected. Tasteport reserves the right to modify, suspend, or discontinue the referral program at any time.

11. Community Impact & Giving Campaign

Tasteport may run community giving campaigns (such as the "Once in a New Moon 500x Meals Challenge between Feb 17, 2026 and March 31, 2026") where a percentage of qualifying orders is contributed to select charitable organizations. The donation percentage, campaign duration, partner organizations, and meal estimates are determined solely by Tasteport. Contributions are made by Tasteport on behalf of its community; individual users do not receive tax receipts for campaign contributions. Tasteport reserves the right to modify, extend, or end campaigns at any time. Estimated meal counts are approximations based on partner organization guidelines and may vary. Campaign progress displayed on the platform is updated periodically and may not reflect real-time totals.

12. Proprietary Rights

You understand and agree that you may receive communications generated by automatic telephone dialing systems and/or which will deliver prerecorded messages sent by or on behalf of Tasteport, its affiliated companies and/or Third Party Providers, including but not limited to communications concerning orders placed through your account on the Services. Message and data rates may apply. If you do not wish to receive promotional emails, text messages, or other communications, you may opt out of such communications at any time in your account settings. If you opt out of any communications you acknowledge and agree that it may affect the Service and Tasteport may not be able to make the Service available to you.

Subject to any applicable law and the requirements of our Privacy Statement:

(i) We do not wish to obtain unsolicited ideas, including ideas for new advertising campaigns, new promotions, new or improved products, goods, services or technologies, product enhancements, processes, materials, marketing plans, or new product names. IF FOR ANY REASON OR IN ANY CIRCUMSTANCE ANY TASTEPORT REPRESENTATIVES ARE FOUND LIABLE TO YOU, THE MAXIMUM AGGREGATE LIABILITY TO AVAILABLE YOU, FOR ANY AND ALL CLAIMS ARISING IN ANY WAY FROM OR RELATING TO THE USE OF (OR INABILITY TO USE) THE SERVICE, THE CONTENT, THE POSTINGS OR ANY LINK, PRODUCT OR SERVICE AVAILABLE THROUGH THE SERVICE OR RELATING TO THE SERVICE, OR ARISING OUT OF ANY ACTION TAKEN IN RESPONSE TO OR AS A RESULT OF ANY INFORMATION AVAILABLE ON THE SERVICE, RELATING TO THE SERVICE OR OTHERWISE, SHALL BE LIMITED TO THE FEES PAID BY YOU TO TASTEPORT IN THE 6 MONTHS PRECEDING SUCH CLAIM.

YOU ACKNOWLEDGE THAT TASTEPORT ACTS AS TRUSTEE FOR THE TASTEPORT REPRESENTATIVES WITH RESPECT TO ALL RIGHTS CONTEMPLATED HEREUNDER ARISING IN FAVOUR OF A TASTEPORT REPRESENTATIVE. TASTEPORT AGREES TO ACCEPT SUCH TRUST AND HOLD AND ENFORCE SUCH RIGHTS ON BEHALF OF EACH TASTEPORT REPRESENTATIVE.

19. Release and Indemnity

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT TASTEPORT REPRESENTATIVES ARE NOT RESPONSIBLE FOR THE FITNESS OR CONDUCT OF ANY THIRD PARTY PROVIDER OR FOR ANY SERVICES PROVIDED BY ANY THIRD PARTY PROVIDER. TASTEPORT REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH THE ACTS OR OMISSIONS OF ANY THIRD PARTY PROVIDER.

If you have a dispute with one or more Third Party Providers, you agree to release and hold the Tasteport Representatives harmless from any claims, demands and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected to such disputes.

You will indemnify and hold the Tasteport Representatives harmless from and against any claims brought by third parties arising out of your use of this site, and any breach of these Terms by you, including any use of the Content other than as expressly authorized in these Terms. You agree that the Tasteport Representatives will have no liability in connection with any such breach or unauthorized use or modification, and agree to indemnify against any and all resulting loss, damages, judgments, awards, costs, expenses, and lawyers' fees of the Tasteport Representatives in connection therewith.

20. Choice of Law

You agree that all matters relating to the access to, or use of, this Service shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without reference to its conflict of laws principles, and that you will comply with all such applicable laws.

Any dispute between us and you or any other person arising from, in connection with or relating to this Service, these Terms, any transaction through this Service or any related matters must be resolved before the Courts of the Province of Ontario, Canada sitting in the City of Toronto, and you hereby irrevocably submit and attorn to the exclusive jurisdiction of those Courts in respect of any such dispute.

21. Termination of Use

If you breach any provision of these Terms, then you may no longer use this Service. We, in our sole discretion, shall determine whether these Terms have been violated. You agree that we may, in our sole discretion, terminate or suspend your account with or without notice.

Upon termination or suspension of your account, regardless of the reasons therefore, your right to use this Service immediately ceases, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or this Service. We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection with such termination or suspension.

22. General

These Terms constitute the entire agreement between us and you with respect to the subject matter hereof, and supersede all communications, representations or agreements, either oral or written, between us or our affiliates and you with respect to this subject matter. Notwithstanding the foregoing, if you and Tasteport agree to a written agreement and such agreement expressly overrides these Terms, the provisions of such agreement will prevail. If for any reason a court of competent jurisdiction finds any provision of these Terms or portion thereof to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these Terms, and the remainder of these Terms shall continue in full force and effect.

No waiver of or consent to depart from the requirements of any provision of these Terms will be binding unless it is in writing and signed by Tasteport. You and Tasteport are independent contractors, and no agency, partnership, joint venture, employment or franchise relationship is intended or created by these Terms.

The provisions of these Terms will enure to the benefit of and be binding upon you and Tasteport and its respective successors and assigns, and, if you are contracting as an individual, your heirs, executors, administrators and personal representatives. You may not assign these Terms or your rights and obligations under these Terms without our express prior written consent, which may be withheld in our sole discretion. We may assign these Terms and our respective rights and obligations under these Terms without your consent.

23. Notices

All notices to us shall be in writing and shall be made via email. Notices to us must be sent to the attention of our customer service representatives at info@tasteport.com. Notices to you may be sent, in our sole discretion, to the address or email address supplied by you as part of your membership. In addition, we may broadcast notices or messages through this Service to inform you of changes to this Service or other matters of importance, and such broadcasts shall constitute notice to you at the time of sending.

24. Apple Terms and Conditions

In the event that you have downloaded a version of the Service for use on the iOS platform, the additional provisions set out in this Section apply to your use of such version of the Service. When we say "Apple" in this Section we mean "Apple Inc.".

The parties acknowledge that these terms are concluded between the parties only and not with Apple, and us, not Apple, are solely responsible for the Service and the content thereof. In the event that these terms provide for usage rules for the Service that are less restrictive than the Usage Rules set forth for the Service in, or otherwise be in conflict with, the App Store Terms of Service as of the effective date of these terms, such usage rules for the Service will not be in force to the minimal extent of such inconsistency.

The Service license is limited to a non-transferable license to use the Service on any Apple-branded Products that you own or control and as permitted by the Usage Rules set forth in the App Store Terms of Service, except that such Service may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

The parties acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Service.

To the extent any warranty is imposed upon the Service pursuant to any applicable law, in the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the Service to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Service, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any such warranty will be our sole responsibility.

The parties acknowledge that Apple is not responsible for addressing any claims of yours or any third party relating to the Service or your possession and/or use of the Service, including: (1) product liability claims; (2) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection, privacy or similar legislation. The parties acknowledge that, in the event of any third party claim that the Service or your possession and use of the Service infringes that third party's intellectual property rights, you, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) he/she is not listed on any U.S. Government list of prohibited or restricted parties.

You must comply with applicable third party terms of agreement when using the Service.

The parties acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of these terms in respect of the Service, and that, upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these terms in respect of the Service against you as a third party beneficiary thereof.

25. Language
